1. Introduction and Acceptance

Welcome to Parable, a product of Parable LLC (“Company,” “we,” “us,” or “our”). Parable is a church management and communication platform available at getparable.io (the “Service”). These Terms of Service (“Terms”) govern your access to and use of the Service.

By creating an account, accessing, or using the Service, you (“Customer” or “you”) agree to be bound by these Terms. If you are using the Service on behalf of a church, ministry, or organization, you represent that you have the authority to bind that entity and that these Terms apply to it. If you do not agree to these Terms, do not use the Service.

2. Definitions

  • “Service” means the Parable platform, including all software, tools, features, APIs, and content made available at getparable.io or through related mobile or desktop applications.
  • “Customer” means the church, ministry, organization, or individual who has created an account to use the Service.
  • “End Users” means individuals, such as church members or staff, whose information is managed through the Service by the Customer.
  • “Customer Data” means all data, content, and information submitted to the Service by you or your End Users.
  • “Subscription” means the paid or trial plan under which you access the Service.

3. Eligibility

You must be at least 18 years of age to create an account or use the Service on behalf of an organization. The Service is not directed to individuals under the age of 13. You agree not to allow individuals under 13 to submit personal information to the Service without verifiable parental consent.

By using the Service, you represent and warrant that you meet the eligibility requirements above, that you have the legal authority to enter into these Terms, and that your use of the Service complies with all applicable laws and regulations.

4. Accounts and Registration

To access most features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your account credentials.
  • Promptly notify us of any unauthorized access or use of your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently, in violation of these Terms, or in a manner that may harm the Company, other users, or third parties.

5. Subscriptions, Fees, and Payment

Access to certain features of the Service requires a paid Subscription. By subscribing, you agree to pay the applicable fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis, depending on your selected plan.

All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change our pricing at any time. We will provide at least 30 days’ notice of any price changes, which will take effect at your next billing cycle.

If your payment fails and you do not remedy the failure within 10 days of notice, we may suspend or terminate your Subscription. You are responsible for all applicable taxes, which may be added to your invoice.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

  • Send unsolicited messages (spam) or contact individuals who have not given explicit consent to receive communications from you.
  • Harass, threaten, stalk, or otherwise harm any individual.
  • Distribute unlawful, defamatory, obscene, fraudulent, or harmful content.
  • Violate any applicable law or regulation, including but not limited to data privacy laws (e.g., GDPR, CCPA) and telecommunications regulations (e.g., TCPA, CAN-SPAM).
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Collect, store, or use personal information about others without their explicit consent.
  • Upload or transmit malware, viruses, or any other malicious code.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Use the Service to process or store data relating to children under 13 without verifiable parental consent.

We reserve the right to investigate and take appropriate action against any violation of this policy, including suspending or terminating your account and reporting violations to law enforcement.

7. Messaging and Communication Features

If your Subscription includes SMS, email, or other communication features, the following additional terms apply:

Consent Required

You are solely responsible for ensuring that all recipients of messages sent through the Service have provided their explicit prior written consent to receive such communications. You may not use the Service to message individuals who have not consented.

Opt-Out Compliance

You must honor opt-out requests promptly and in accordance with applicable law. Any End User who responds with STOP, QUIT, END, CANCEL, or UNSUBSCRIBE must be removed from further messaging immediately.

Content Restrictions

Messages must not contain content that is illegal, harmful, discriminatory, or otherwise in violation of applicable law or these Terms. You are solely responsible for all message content sent through your account.

Regulatory Compliance

You are responsible for ensuring that your use of messaging features complies with all applicable regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any other applicable federal, state, or international communications laws.

8. Customer Data and Privacy

You retain all ownership rights to Customer Data. By submitting Customer Data to the Service, you grant Parable LLC a limited, non-exclusive, royalty-free license to use, store, process, and display Customer Data solely to provide and improve the Service.

We handle Customer Data in accordance with our Privacy Policy, available at https://www.getparable.io/privacy-policy. You are responsible for obtaining all necessary rights and consents from your End Users to allow us to process their data as described in the Privacy Policy.

We implement reasonable technical and organizational security measures designed to protect Customer Data from unauthorized access, disclosure, alteration, or destruction. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

9. Intellectual Property

The Service, including all software, designs, text, graphics, interfaces, and other content created by Parable LLC, is owned by or licensed to the Company and is protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal purposes in accordance with these Terms. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Service without our express written permission.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

10. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed without reference to the confidential information; or (d) is required to be disclosed by law or court order.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service. Your use of the Service is at your sole risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARABLE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Parable LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Customer Data; or (e) your infringement of any third-party rights.

14. Term and Termination

These Terms commence on the date you first access or use the Service and remain in effect until terminated.

You may terminate your account at any time by contacting us at support@getparable.io. We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice.

Upon termination: (a) your right to access and use the Service ceases immediately; (b) we may delete your Customer Data after a reasonable retention period, unless otherwise required by law; and (c) provisions of these Terms that by their nature should survive termination (including Sections 8, 9, 11, 12, 13, and 16) will survive.

15. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service, in whole or in part, at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may revise these Terms from time to time. We will provide at least 14 days’ notice of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be submitted to non-binding mediation. If mediation is unsuccessful, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in Austin, Texas. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You and Parable LLC agree that any claims shall be brought only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms or agreements, constitute the entire agreement between you and Parable LLC regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, government actions, or internet outages.
